4. Intellectual Property Rights

By providing Client Content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display the Client Content solely for the purpose of providing our services to you.

Deliverables: Upon full payment of all applicable fees, we grant you a non-exclusive, perpetual license to use the deliverables created specifically for you as part of our services. This license does not include any third-party materials, proprietary tools, or pre-existing materials that we may use in creating your deliverables, which remain our property or the property of their respective owners.

5. Payment Terms

Payment terms, including fees, payment schedules, and refund policies, will be specified in a separate agreement or statement of work. Unless otherwise specified, all fees are non-refundable.

If you fail to make any payment when due, we reserve the right to suspend or terminate services until payment is received. You agree to reimburse us for all collection costs and attorneys' fees incurred in collecting overdue amounts.

6. Limitation of Liability

IN NO EVENT WILL TRUE PRICE WEBSITES, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, OUR WEBSITE, SERVICES, OR ANY CONTENT ON OUR WEBSITE, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

7. Indemnification

You agree to defend, indemnify, and hold harmless True Price Websites, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of our services, including, but not limited to, your Client Content, any use of our website's content, services, and products other than as expressly authorized in these Terms.

8. Termination

We may terminate or suspend your access to all or part of our services, without notice, for any conduct that we, in our sole discretion, believe violates these Terms or is harmful to other users of our services, us, or third parties, or for any other reason.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the state in which True Price Websites is headquartered, without giving effect to any choice or conflict of law provision or rule.
